Below            are some typical arrangements that the firm will consider.            *  Flat fees: A flat fee arrangement may be considered in connection with the preparation of            documents that do not require counter-party negotiation or for the initial drafts of to be            negotiated documents. Flat fees may also be considered for repetitive assignments.  PLEASE CONTACT US TO INQUIRE.       *  Volume Discount: A 5% volume discount will apply pursuant to the standard Representation           Agreement for hourly billings by GLW in excess of 25 hours in a calendar month with respect to           the same billing matter.           PLEASE CONTACT US TO INQUIRE.                      *  Dead Deal Discount: If a client is pursuing a qualifying transaction, and such transaction is not           consummated, then 20% of GLW's legal time billed on an hourly basis in connection with the           underlying transaction (inclusive of any volume discounts or prior write-downs of time billed) will           be credited to the client as a dead deal discount to the extent the work product was specific to           the underlying deal. The client must waive any potential conflicts of interest that may be           associated with such an arrangement.           PLEASE CONTACT US TO INQUIRE.       *  Outside General Counsel: If a client engages the firm under an outside General Counsel           arrangement pursuant to and in accordance with the terms of their Representation Agreement,           and provided Law Firm’s monthly billings to the client has exceeded 40 hours of attorney time           per month for the three immediately prior calendar months (following 3 full calendar months from           the date of the Representation Agreement), then with respect to the next billing statement (a)           GLW’s standard hourly billing rate shall be reduced by 20% (in which case the Volume Discount           will not apply), and (b) the dead deal discount factor, as and when applicable, shall be increased           to 25% of GLW's legal time billed.           PLEASE CONTACT US TO INQUIRE.
